Last updated: January 2025
1. Acceptance of Terms
By accessing and using this website, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Use License
Permission is granted to temporarily download one copy of the materials on our website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials
- Use the materials for any commercial purpose or for any public display
- Attempt to reverse engineer any software contained on the website
- Remove any copyright or other proprietary notations from the materials
3. Disclaimer
The materials on our website are provided on an 'as is' basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
4. Limitations
In no event shall our company or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on our website, even if we or our authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
5. Service Agreements
Our IT services are provided under separate service agreements that outline specific terms, deliverables, timelines, and payment schedules. These agreements take precedence over these general terms for contracted services.
All custom software development, system integration, consulting, and maintenance services are subject to written agreements that define scope, responsibilities, and expectations for both parties.
6. IT Services and Restrictions
Our IT services include but are not limited to software development, system integration, technical consulting, and IT support. You may not use our services:
- For any unlawful purpose or to develop systems for illegal activities
- To create software that violates intellectual property rights
- To develop malicious software, viruses, or security exploits
- To access or attempt to access systems without proper authorization
- To compete directly with our services using our proprietary methods or code
- To reverse engineer our proprietary solutions or methodologies
7. Intellectual Property
All custom software, systems, and solutions developed by our IT firm remain our intellectual property unless explicitly transferred through a separate written agreement. This includes:
- Proprietary code and algorithms
- System architectures and designs
- Technical documentation and processes
- Trade secrets and methodologies
Clients receive usage rights to commissioned software as specified in individual service agreements, but ownership of underlying intellectual property remains with our firm unless otherwise negotiated.
8. Service Termination
Either party may terminate IT service agreements according to the terms specified in individual contracts. Upon termination:
- All outstanding payments become immediately due
- Client retains rights to completed deliverables as per agreement
- Our firm retains all intellectual property rights
- Confidential information obligations continue indefinitely
We reserve the right to suspend services immediately if payment terms are violated or if the client engages in activities that violate these terms.
